(1) The following terms and conditions apply to all contracts concluded with us, RP Aroma GmbH, via email, telephone, in person, or online through the website www.rparoma.de. Unless otherwise agreed, the inclusion of any of your own terms and conditions is hereby expressly rejected. <\/p>\n
(2) A consumer within the meaning of these terms is any natural person who enters into a legal transaction for purposes that are predominantly not attributable to their commercial or self-employed professional activity. An entrepreneur is any natural or legal person or a legally competent partnership who, when concluding a legal transaction, acts in the exercise of their independent professional or commercial activity. <\/p>\n
(3) Products that are manufactured according to customer specifications or are clearly tailored to the personal needs of the customer are excluded from exchange and withdrawal. Statutory warranty rights in the event of defects remain unaffected. <\/p>\n
(1) The subject of the contract is the sale of goods. Our product presentations on the internet are non-binding and do not constitute a binding offer to conclude a contract. <\/p>\n
(2) RP Aroma GmbH trades exclusively with entrepreneurs within the meaning of \u00a7 14 BGB. Contracts with consumers are not concluded. Orders from consumers will be rejected. <\/p>\n
(3) You can submit a binding purchase offer (order) by email, telephone, or during a personal consultation. The contract is only concluded upon receipt of our express order confirmation in text form. <\/p>\n
(4) Acceptance of your offer (and thus the conclusion of the contract) takes place within one working day by confirmation in text form (e.g., email), in which the execution of the order or the delivery of the goods is confirmed (order confirmation). If you do not receive a corresponding message, you are no longer bound by your order. Any services already rendered will be refunded immediately in this case. <\/p>\n
(5) Your requests for the preparation of an offer are non-binding for you. We will provide you with a binding offer in text form (e.g., email), which is valid for 5 days. <\/p>\n
(6) The processing of the order and the transmission of all information required in connection with the conclusion of the contract are partly automated by email. You must therefore ensure that the email address you have provided is correct, that receipt of emails is technically ensured, and in particular, is not prevented by SPAM filters. <\/p>\n
(1) The minimum order value is \u20ac30.00 net. For orders below this amount, we reserve the right to deliver only against prepayment. <\/p>\n
(2) For orders of \u20ac500.00 net or more, shipping costs for deliveries to the German mainland are waived. For deliveries to German islands and abroad, shipping costs are calculated separately. The same conditions apply for shipping by freight carrier. <\/p>\n
(1) You may only exercise a right of retention insofar as it concerns claims arising from the same contractual relationship.<\/p>\n
(2) The goods remain our property until full payment of the purchase price.<\/p>\n
(3) If our reserved property is processed or transformed, the processing or transformation is carried out for us, but without obligation. If processed with other items not belonging to us, we acquire co-ownership of the new item in the ratio of the value of our reserved property to the other processed items at the time of processing. If our reserved property is mixed or combined with other items, we acquire co-ownership in the proportion of the value of the reserved property at the time of combination.<\/p>\n
(4) The buyer is only entitled to resell the reserved goods in the ordinary course of business and only against payment or under retention of title. They are not entitled to transfer ownership of the reserved goods as security or to pledge them.<\/p>\n
(5) The buyer undertakes to also safeguard the seller\u2019s ownership if the delivered goods are not intended directly for the buyer but for third parties, and must expressly inform the recipient of this retention of title.<\/p>\n
(6) The buyer hereby assigns their future purchase price claims from the resale of the reserved goods to the seller and undertakes, upon request, to provide the seller with all information necessary for collection regarding the assigned claims and to hand over the required documents. The buyer bears the costs incurred by the collection of the assigned purchase price claims. Until revoked, the buyer is authorized to collect the assigned claims from the resale.<\/p>\n
(7) Any change of location and interventions by third parties, especially seizures, must be reported to the seller immediately in writing, in the case of seizure by sending the seizure protocol.<\/p>\n
(8) In the event of non-compliance with the obligations set out in points a) to f), the seller has the right to withdraw from the contract, take back the goods, and revoke the collection authorization. The buyer must return the goods. The assertion of the retention of title does not require withdrawal by the seller. The reserved goods may be collected from the buyer\u2019s business premises and, after prior warning, utilized.<\/p>\n
(1) We are fully liable for damages resulting from injury to life, body, or health, in all cases of intent and gross negligence, in cases of fraudulent concealment of a defect, in the event of a guarantee for the condition of the purchase item, for damages under the Product Liability Act, and in all other legally regulated cases.<\/p>\n
(2) Insofar as essential contractual obligations are affected, our liability for slight negligence is limited to the typical, foreseeable damage. Essential contractual obligations are those obligations that arise from the nature of the contract and whose violation would endanger the achievement of the contractual purpose, as well as obligations that the contract imposes on us according to its content to achieve the contractual purpose, the fulfillment of which makes the proper execution of the contract possible in the first place and on whose compliance you may regularly rely. <\/p>\n
(3) In the event of a breach of non-essential contractual obligations, liability for slightly negligent breaches of duty is excluded.<\/p>\n
(4) Data communication over the internet cannot be guaranteed to be error-free and\/or available at all times according to the current state of technology. We are therefore not liable for the constant or uninterrupted availability of the website and the services offered there. <\/p>\n
We undertake to treat all information received in the course of the business relationship, especially personal data and business secrets, as strictly confidential and to use it exclusively for the purpose of contract execution. The processing of personal data is carried out in compliance with applicable data protection laws, in particular the General Data Protection Regulation (GDPR). Disclosure to third parties only takes place if this is necessary for the fulfillment of the contract or required by law. Both parties undertake to take appropriate technical and organizational measures to protect the data against unauthorized access, loss, or misuse. <\/p>\n
(1) German law shall apply exclusively to contractual relationships. The application of the UN Convention on Contracts for the International Sale of Goods is excluded.<\/p>\n
(2) The place of performance for all services arising from the business relationships with us and the place of jurisdiction is our registered office, provided you are a merchant, a legal entity under public law, or a special fund under public law. The same applies if you do not have a general place of jurisdiction in Germany or the EU or if your residence or usual place of abode is unknown at the time the action is brought. The right to also call upon the court at another statutory place of jurisdiction remains unaffected. <\/p>\n
(1) RP Aroma GmbH reserves the right to adjust the prices for its services and products if the relevant cost factors, in particular material, raw material, energy, wage, or transport costs, change demonstrably. A price adjustment is made exclusively to the extent of the actual cost changes and may lead to an increase or decrease in prices. <\/p>\n
(2) The price adjustment will be communicated to the customer at least four weeks before it takes effect in text form. The reasons and scope of the price adjustment will be transparently explained in the notification. The customer has the right to terminate the contract extraordinarily within two weeks of receipt of the notification, effective at the time of the price adjustment. If the customer does not exercise this right, the price adjustment is deemed accepted. <\/p>\n
(3) Price adjustments are made no more than once per calendar year unless exceptional and unforeseeable cost increases require an earlier adjustment. In this case, RP Aroma GmbH will particularly justify the exceptional circumstances in the notification. <\/p>\n
(4) The price adjustment clause does not apply to services or products that have already been fully rendered and invoiced.<\/p>\n
(5) The prices quoted by us apply ex works Syke, unless otherwise agreed in writing.<\/p>\n
(6) The shipping costs incurred are not included in the purchase price. The amount of shipping costs depends on weight, package size, and shipping provider. These additional costs are to be borne by you unless free shipping has been promised. <\/p>\n
(7) The payment methods available to you are listed in a correspondingly designated section in the order confirmation.<\/p>\n
(8) Unless otherwise specified for the individual payment methods, the payment claims from the concluded contract are due for payment immediately.<\/p>\n
(1) Shipping Method and Carrier: Unless expressly agreed otherwise, the choice of shipping method and carrier is at the seller\u2019s discretion.<\/p>\n
(2) Packaging and Disposal: Delivery is made including disposable packaging according to the seller\u2019s standard packaging of their choice. The buyer bears the disposal costs for the empty packaging. <\/p>\n
(3) Transfer of Risk: The risk of accidental loss or deterioration of the goods passes to the buyer upon handover, but at the latest when the goods leave the seller\u2019s shipping location. This also applies if the seller bears the transport costs. In this case, the buyer remains obliged to pay the purchase price. <\/p>\n
(4) Transport Insurance: Each delivery is insured by the seller against transport risks unless expressly agreed otherwise. The insurance fee of 0.5% of the net value of the goods may be charged to the buyer. <\/p>\n
(5) Damage Reporting and Processing: In the event of transport damage, the buyer is obliged to immediately provide the seller with an official damage assessment (if necessary, including a weighing note) and a corresponding damage assignment. The seller reserves the right to either deliver a replacement or refund the amount of the damage. <\/p>\n
(1) If the buyer remains silent after the expiry of a reasonable grace period set for them, refuses acceptance, or expressly declares that they do not wish to accept, the company may withdraw from the contract or claim damages for non-performance.<\/p>\n
(2) The costs incurred due to late acceptance, in particular those for storage and re-delivery, are to be borne by the buyer.<\/p>\n
(3) RP Aroma reserves the right to choose a freight forwarding company as the storage location and to charge these costs to the customer.<\/p>\n
(1) Commercial Duty to Inspect and Give Notice of Defects: Complaints by merchants are only considered if they are received in writing by the seller within 10 days of receipt of the goods and before processing, stating the exact defects.<\/p>\n
(2) Rights in the Event of Justified Complaint: If a complaint is recognized by the seller as justified, the seller reserves the right to either deliver a replacement or issue a credit note at their discretion.<\/p>\n
(3) Limitation of Liability: Further claims by the buyer, in particular claims for compensation for consequential damages resulting from the processing of the complained goods, are excluded, unless mandatory statutory liability provisions, in particular for intent or gross negligence, remain unaffected.<\/p>\n
(1) Withdrawal Due to Unavailability of Goods or Force Majeure: Withdrawal from the contract is possible if, despite the conclusion of a congruent hedging transaction by the supplier, the ordered goods cannot be delivered through no fault of their own, or if a case of force majeure occurs that makes delivery impossible. Force majeure includes unforeseeable, external events that cannot be averted even with the utmost reasonable care, such as natural disasters, war, pandemics, official measures, or comparable events. The buyer will be informed immediately in such cases. Payments already made will be refunded immediately. <\/p>\n
(2) Right of Withdrawal in the Event of Lack of Creditworthiness of the Buyer: There is a right of withdrawal if the buyer has provided incorrect information about their creditworthiness, suspends payments, insolvency proceedings are applied for over their assets, or payment obligations from previous deliveries are not fulfilled despite default and a corresponding request with a reasonable deadline. The right of withdrawal lapses if the buyer makes an immediate advance payment. <\/p>\n
(3) Withdrawal in Case of Endangering the Buyer’s Performance: If, after conclusion of the contract, concrete indications arise that the claim for consideration is endangered by the buyer’s lack of performance (e.g., payment default, transfer of circulating assets as security, unfavorable information from banks or credit insurers), delivery may be refused and the buyer may be given a reasonable period to provide sufficient security (e.g., absolute bank guarantee).<\/p>\n
Customary or product-typical, minor fluctuations in smell and taste do not constitute a defect and do not entitle the buyer to assert claims. This does not apply if the fluctuations significantly fall short of the agreed or usually expected quality. <\/p>\n
(1) In the event of a justified withdrawal and the return of delivered goods, there is a right to compensation for actual expenses incurred, such as transport and installation costs, provided these are individually substantiated.<\/p>\n
(2) Compensation may be claimed for any reduction in value of the returned goods resulting from use or deterioration. The amount of compensation is based on the loss in value, which must be demonstrated in each individual case. The buyer has the right to prove that no loss in value or a significantly lower loss in value has occurred. <\/p>\n
(1) In the event of a defect, the buyer may choose either rectification (repair) or replacement delivery. The right to the chosen form of subsequent performance may be refused if it is only possible at disproportionate cost. In this case, the alternative form of subsequent performance may be requested. <\/p>\n
(2) If subsequent performance fails, is definitively refused, or is unreasonable for the buyer, the buyer may, at their discretion, reduce the purchase price or withdraw from the contract, and may claim damages in accordance with statutory provisions. Withdrawal is excluded in the case of only minor defects. <\/p>\n
(3) Claims for compensation for damages not occurring on the delivered goods themselves (e.g., hotel costs, telephone costs, loss of earnings) exist only to the extent that liability is provided for by statutory provisions.<\/p>\n
(4) Obvious defects must be reported in writing within two weeks after delivery of the goods. The statutory provisions regarding the duty to inspect and give notice of defects in commercial transactions remain unaffected. The buyer\u2019s rights remain valid if the notice is given within the deadline. <\/p>\n
(5) If the defect is not attributable to the seller, the buyer has no right to withdraw from the contract or claim damages.<\/p>\n
(6) The limitation period for warranty claims is two years from delivery of the goods. For used goods, the period may be reduced to one year if expressly agreed. For entrepreneurs as buyers, the limitation period may be restricted to one year, provided the goods do not have a longer shelf life. <\/p>\n

Wir behalten uns vor, Auftr\u00e4ge unter EUR 30,00 ausschliesslich per Vorauskasse abzuwickeln.<\/p>\n Die von uns angegebenen Preise gelten ab Werk Bremen, vorbehaltlich einer anderen schriftlichen Vereinbarung.<\/p>\n a) F\u00fcr alle Produkte gilt als Zahlungsbedingung \u2013 vorbehaltlich einer anderen, schriftlichen Vereinbarung \u2013 zahlbar prompt netto Kasse nach Waren- und Rechnungserhalt. Dieses gilt auch f\u00fcr Teillieferungen.<\/p>\n b) Der K\u00e4ufer ger\u00e4t in Verzug, wenn ihm nach Eintritt der F\u00e4lligkeit eine Mahnung zugeht oder mit Ablauf von 21 Tagen nach F\u00e4lligkeit und Zugang einer Rechnung. Bei Verzug hat der K\u00e4ufer Verzugszinsen in H\u00f6he von j\u00e4hrlich 8% \u00fcber dem jeweiligen Basiszinssatz zu entrichten, falls der K\u00e4ufer nicht nachweist, dass ein Schaden \u00fcberhaupt nicht oder aber in dieser H\u00f6he nicht entstanden ist.<\/p>\n c) Zahlungen sind erst bewirkt, wenn wir \u00fcber den Betrag verf\u00fcgen k\u00f6nnen. Schecks- werden erf\u00fcllungshalber unter Vorbehalt entgegengenommen. Diskont und Einzugsspesen hat der K\u00e4ufer zu tragen. Sollten Schecks nicht eingel\u00f6st werden oder Antrag auf Er\u00f6ffnung des Insolvenzverfahrens \u00fcber das Verm\u00f6gen des K\u00e4ufers gestellt werden, werden s\u00e4mtliche Forderungen der Verk\u00e4uferin sofort f\u00e4llig, auch im Falle einer gew\u00e4hrten Stundung. Der K\u00e4ufer kann nur mit solchen Forderungen aufrechnen, die unbestritten oder rechtskr\u00e4ftig festgestellt sind.<\/p>\n d) Eingehende Zahlungen werden nach unserer Wahl zum Ausgleich der \u00e4ltesten oder der am geringsten gesicherten Verbindlichkeiten verwendet.<\/p>\n e) Teillieferungen werden sofort berechnet und sind jede f\u00fcr sich zur Bezahlung f\u00e4llig, unabh\u00e4ngig von der Beendigung der Gesamtlieferung. Anzahlungen bei Abschl\u00fcssen werden mangels schriftlicher Vereinbarung auf die jeweils \u00e4ltesten Teillieferungen verrechnet.<\/p>\n a) Falls die Verk\u00e4uferin die vereinbarte Lieferfrist nicht einhalten kann, hat der K\u00e4ufer eine angemessene Nachlieferfrist \u2013 beginnend vom Tage des Eingangs der schriftlichen Inverzugsetzung durch den K\u00e4ufer oder im Fall kalenderm\u00e4\u00dfig bestimmter Lieferfrist mit deren Ablauf \u2013 zu gew\u00e4hren. Liefert die Verk\u00e4uferin bis zum Ablauf der gesetzten Nachlieferfrist nicht, kann der K\u00e4ufer vom Vertrag zur\u00fccktreten.<\/p>\n b) Von der Verk\u00e4uferin nicht zu vertretende St\u00f6rungen im Gesch\u00e4ftsbetrieb der Verk\u00e4uferin oder bei deren Vorlieferanten, insbesondere Arbeitsausst\u00e4nden und Aussperrungen sowie F\u00e4lle h\u00f6herer Gewalt, die auf einem unvorhersehbaren und unverschuldeten Ereignis beruhen, verl\u00e4ngern die Lieferzeit entsprechend. Zum R\u00fccktritt ist der K\u00e4ufer nur berechtigt, wenn er in diesen F\u00e4llen nach Ablauf der vereinbarten Lieferfrist die Lieferung schriftlich anmahnt und diese dann nicht innerhalb einer zu setzenden angemessenen Nachfrist nach Eingang des Mahnschreibens des K\u00e4ufers bei der Verk\u00e4uferin an den K\u00e4ufer erfolgt. Im Falle kalenderm\u00e4\u00dfig bestimmter Lieferfrist beginnt mit deren Ablauf die zu setzende Nachfrist.<\/p>\n c) Sollte die Verk\u00e4uferin mit einer Lieferung in Verzug geraten und der K\u00e4ufer eine angemessene Nachfrist gesetzt haben, ohne dass eine Lieferung erfolgte, kann der K\u00e4ufer entweder vom Vertrag zur\u00fccktreten oder eine Entsch\u00e4digung f\u00fcr nachgewiesenen Schaden f\u00fcr jede vollendete Woche des Verzuges in H\u00f6he von je 0,5 %, insgesamt h\u00f6chstens jedoch 5 % des Kaufpreises der versp\u00e4teten Lieferung verlangen. Weitere Anspr\u00fcche des Bestellers sind in allen F\u00e4llen versp\u00e4teter Lieferung, auch nach Ablauf einer der Verk\u00e4uferin gesetzten Nachfrist ausgeschlossen.<\/p>\n a) Die Ware bleibt bis zur vollst\u00e4ndigen Erf\u00fcllung aller Verbindlichkeiten aus diesem Vertragsverh\u00e4ltnis, einschlie\u00dflich der Forderungen aus der Kontokorrent- bzw. Gesch\u00e4ftsbeziehung bei laufender Gesch\u00e4ftsverbindung, Eigentum der Verk\u00e4uferin.<\/p>\n Beim Bestehen eines Kontokorrentverh\u00e4ltnisses soll der Eigentumsvorbehalt auch nach Einstellen in das Kontokorrent bzw. nach Saldierung bestehen bleiben.<\/p>\n b) Wird unser Vorbehaltseigentum be- oder verarbeitet oder umgebildet, wird die Be- oder Verarbeitung bzw. die Umbildung f\u00fcr uns, jedoch ohne Gew\u00e4hr, vorgenommen. Bei Verarbeitung mit anderen, nicht uns geh\u00f6renden Gegenst\u00e4nden durch den K\u00e4ufer steht uns das Miteigentum an der neuen Sache zu im Verh\u00e4ltnis des Wertes unseres Vorbehaltseigentums zu den anderen verarbeiteten Gegenst\u00e4nden zur Zeit der Verarbeitung. Wird unser Vorbehaltseigentum mit anderen Gegenst\u00e4nden vermischt oder vermengt, so erwerben wir Miteigentum in H\u00f6he des Verh\u00e4ltnisses des Wertes, den das Vorbehaltseigentum zum Zeitpunkt der Verbindung hat.<\/p>\n c) Der K\u00e4ufer ist zum Weiterverkauf der Vorbehaltsware nur im ordnungsgem\u00e4\u00dfen Gesch\u00e4ftsverkehr gegen Bezahlung bzw. nur unter Weitergabe des Eigentumsvorbehalts berechtigt. Er ist nicht berechtigt, die Vorbehaltsware zur Sicherheit zu \u00fcbereignen oder zu verpf\u00e4nden.<\/p>\n d) Der K\u00e4ufer verpflichtet sich, das Eigentum der Verk\u00e4uferin auch dann entsprechend zu wahren, wenn die gelieferte Ware nicht unmittelbar f\u00fcr den K\u00e4ufer, sondern f\u00fcr Dritte bestimmt ist und hat den Empf\u00e4nger auf diesen Eigentumsvorbehalt ausdr\u00fccklich hinzuweisen.<\/p>\n e) Der K\u00e4ufer tritt schon jetzt seine k\u00fcnftigen Kaufpreisforderungen aus dem Weiterverkauf der Vorbehaltsware an die Verk\u00e4uferin ab und verpflichtet sich, der Verk\u00e4uferin auf Verlangen alle zur Einziehung erforderlichen Angaben \u00fcber die abgetretenen Forderungen zu erteilen und die erforderlichen Belege auszuh\u00e4ndigen. Die Kosten, die durch die Einziehung der abgetretenen Kaufpreisforderung entstehen, hat der K\u00e4ufer zu tragen. Bis auf Widerruf ist der K\u00e4ufer zur Einziehung der abgetretenen Forderungen aus der Weiterver\u00e4u\u00dferung befugt.<\/p>\n f) Jeder Standortwechsel und Eingriff Dritter, insbesondere Pf\u00e4ndungen, sind der Verk\u00e4uferin unverz\u00fcglich schriftlich mitzuteilen, bei Pf\u00e4ndung durch \u00dcbersendung des Pf\u00e4ndungsprotokolls.<\/p>\n g) Im Falle der Nichteinhaltung der in den Punkten a) bis f) festgelegten Verpflichtungen des K\u00e4ufers hat die Verk\u00e4uferin das Recht, vom Vertrag zur\u00fcckzutreten und die Ware zur\u00fcckzunehmen und die Einziehungsbefugnis zu widerrufen. Der K\u00e4ufer hat die Ware herauszugeben. Die Geltendmachung des Eigentumsvorbehalts erfordert keinen R\u00fccktritt durch die Verk\u00e4uferin. Die Vorbehaltsware darf von der Verk\u00e4uferin aus den Gesch\u00e4ftsr\u00e4umen des K\u00e4ufers abgeholt werden und nach vorheriger Androhung verwertet werden.<\/p>\n In der Natur der Ware liegende Qualit\u00e4tsschwankungen, insbesondere Geruchs- und Geschmacksschwankungen, berechtigen den K\u00e4ufer nicht zur Reklamation bzw. zur Anmeldung jeglicher Anspr\u00fcche.<\/p>\n a) Falls nichts anderes vereinbart, wird die Auswahl des Versandweges und des Frachtf\u00fchrers uns \u00fcberlassen.<\/p>\n b) Unsere Lieferungen erfolgen inklusive Einwegverpackung, entsprechend unserer Standardverpackung in unserer Wahl. Entsorgungskosten der Leerverpackung gehen zu Lasten des K\u00e4ufers.<\/p>\n c) Die Gefahr, trotz Verlustes oder Besch\u00e4digung den Kaufpreis zahlen zu m\u00fcssen, geht mit der \u00dcbergabe auf den K\u00e4ufer \u00fcber. Sie geht, auch wenn die Verk\u00e4uferin die Transportkosten tr\u00e4gt, auf den K\u00e4ufer \u00fcber, sobald die Ware die Versandstelle der Verk\u00e4uferin verlassen hat.<\/p>\n d) Jede Lieferung wird von uns versichert, falls nicht ausdr\u00fccklich anderweitig gew\u00fcnscht. Die Versicherungsgeb\u00fchr i. H. v. 0,5 % des Nettowarenwertes kann dem K\u00e4ufer in Rechnung gestellt werden.<\/p>\n e) Im Schadensfall ist umgehend eine amtliche Schadensfeststellung (ggf. mit Wiegenote) an uns zu senden – zusammen mit der entsprechenden Schadensabtretung. Wir behalten uns vor, f\u00fcr den eingetretenen Schaden Ersatz zu liefern oder den Schadensbetrag zu erstatten.<\/p>\n a) Wenn der K\u00e4ufer nach Ablauf einer ihm gesetzten angemessenen Nachfrist stillschweigt, die Abnahme verweigert oder ausdr\u00fccklich erkl\u00e4rt, nicht abnehmen zu wollen, kann die Verk\u00e4uferin vom Vertrag zur\u00fccktreten oder Schadensersatz wegen Nichterf\u00fcllung verlangen.<\/p>\n b) Die durch die versp\u00e4tete Abnahme verursachten Kosten, insbesondere solche der Lagerung und erneute Anlieferung, hat der K\u00e4ufer zu tragen.<\/p>\n c) Die Verk\u00e4uferin kann sich zur Lagerung auch einer Spedition bedienen.<\/p>\n Beanstandungen von Kaufleuten k\u00f6nnen nur ber\u00fccksichtigt werden, wenn sie innerhalb von 10 Tage nach Warenempfang und vor Verarbeitung schriftlich detailliert bei uns angemeldet werden. Im Falle, dass die Beanstandung von uns akzeptiert wird, behalten wir uns vor, Ersatz zu liefern bzw. Gutschrift zu erteilen. Andere weitergehende Anspr\u00fcche sind ausgeschlossen, insbesondere haften wir nicht f\u00fcr Folgesch\u00e4den aus der Verarbeitung dieser Ware.<\/p>\n a) Die Verk\u00e4uferin braucht nicht zu liefern, wenn der Vorlieferant die Produktion der bestellten Ware eingestellt hat oder F\u00e4lle h\u00f6herer Gewalt vorliegen, sofern diese Umst\u00e4nde erst nach Vertragsabschluss eingetreten sind und die Verk\u00e4uferin die Nichtbelieferung nicht zu vertreten hat und er ferner nachweist, sich vergeblich um Beschaffung gleichwertiger Ware bem\u00fcht zu haben. \u00dcber die genannten Umst\u00e4nde hat die Verk\u00e4uferin den K\u00e4ufer unverz\u00fcglich zu benachrichtigen.<\/p>\n b) Ein R\u00fccktrittsrecht wird der Verk\u00e4uferin zugestanden, wenn der K\u00e4ufer \u00fcber die seine Kreditw\u00fcrdigkeit bedingenden Tatsachen unrichtige Angaben gemacht hat oder seine Zahlungen einstellt oder \u00fcber sein Verm\u00f6gen ein Insolvenz- oder Vergleichsverfahren beantragt wurde oder Zahlungsverpflichtungen aus vorangegangenen Lieferungen der Verk\u00e4uferin nicht ausgeglichen sind, obwohl sich der K\u00e4ufer im Verzug befindet, es sei denn, der K\u00e4ufer leistet unverz\u00fcglich Vorkasse. F\u00fcr die Warenr\u00fccknahme gilt Abschnitt 12.<\/p>\n c) Ergeben sich nach Vertragsschluss Anzeichen daf\u00fcr, dass die Leistungsf\u00e4higkeit des K\u00e4ufers gef\u00e4hrdet ist, wie z.B. Zahlungsverzug- und Einstellung, Sicherungs\u00fcbereignung von Umlaufverm\u00f6gen, ung\u00fcnstige Ausk\u00fcnfte durch Bank- oder Kreditinstitute oder Kreditversicherer, ist die Verk\u00e4uferin berechtigt, ihre Leistung zu verweigern und, nach fruchtloser Fristsetzung zur Erbringung von Sicherheiten in Form von selbstschuldnerischen Bankb\u00fcrgschaften, Bankgarantien oder Vorleistungen, vom Vertrag zur\u00fcckzutreten oder Schadensersatz zu verlangen. Eine Fristsetzung ist f\u00fcr den Fall entbehrlich, dass die Gef\u00e4hrdung der Leistungsf\u00e4higkeit des K\u00e4ufers offensichtlich ist.<\/p>\n a) Im Fall des R\u00fccktritts und der R\u00fccknahme gelieferter Waren hat die Verk\u00e4uferin Anspruch auf Ausgleich f\u00fcr Aufwendungen, Gebrauchs\u00fcberlassung und Wertminderung wie folgt:<\/p>\n aa) F\u00fcr infolge des Vertrages gemachte Aufwendungen wie Transport- und Montagekosten usw. in entstandener H\u00f6he.<\/p>\n bb) F\u00fcr Wertminderung und Gebrauchs\u00fcberlassung der gelieferten Ware gilt als Pauschalsatz jeweils 25% des Rechnungsbetrages f\u00fcr die ersten vier Vierteljahre.<\/p>\n a) Die Verk\u00e4uferin leistet f\u00fcr M\u00e4ngel der Ware zun\u00e4chst nach ihrer Wahl Gew\u00e4hr durch Nachbesserung oder Neuherstellung.<\/p>\n b) Sofern die Verk\u00e4uferin die Erf\u00fcllung ernsthaft und endg\u00fcltig verweigert, sie die Beseitigung des Mangels und der Nacherf\u00fcllung wegen unverh\u00e4ltnism\u00e4\u00dfiger Kosten verweigert, die Nacherf\u00fcllung fehlschl\u00e4gt oder sie dem Auftraggeber unzumutbar ist, kann der K\u00e4ufer nach seiner Wahl nur Herabsetzung der Verg\u00fctung (Minderung) oder R\u00fcckg\u00e4ngigmachung des Vertrages (R\u00fccktritt) und Schadensersatz im Rahmen der Haftungsbeschr\u00e4nkung statt der Leistung verlangen.<\/p>\n Bei einer nur geringf\u00fcgigen Vertragswidrigkeit, insbesondere bei nur geringf\u00fcgigen M\u00e4ngeln, steht dem K\u00e4ufer jedoch kein R\u00fccktrittsrecht zu.<\/p>\n c) Der K\u00e4ufer hat keinen Anspruch auf den Ersatz von Hotelkosten, Telefonkosten, die Abgeltung unbezahlten Urlaubs oder dergleichen weitergehenden Kosten oder Folgesch\u00e4den.<\/p>\n d.) Gew\u00e4hrleistungsanspr\u00fcche wegen offensichtlicher M\u00e4ngel erl\u00f6schen, wenn sie der K\u00e4ufer nicht bei der \u00dcbergabe r\u00fcgt.<\/p>\n e.) Sofern die Verk\u00e4uferin die in einem Mangel liegende Pflichtverletzung nicht zu vertreten hat, ist der K\u00e4ufer nicht zum R\u00fccktritt vom Vertrag berechtigt.<\/p>\n f.) Rechte des K\u00e4ufers verj\u00e4hren in einem Jahr ab Abnahme des Werkes\/Gegenstandes, f\u00fcr den Fall, dass der K\u00e4ufer Kaufmann ist und die Ware eine entsprechende Haltbarkeit aufweist. Die Waren der Verk\u00e4uferin sind zum gr\u00f6\u00dften Teil Naturprodukte, die nat\u00fcrlich bedingt eine begrenzte Haltbarkeit aufweisen.<\/p>\n a) Gerichtsstand f\u00fcr Lieferungen, Leistungen und Zahlungen sowie f\u00fcr s\u00e4mtliche zwischen den Parteien sich ergebenden Streitigkeiten ist der Wohnsitz des K\u00e4ufers.<\/p>\n b) Ist der K\u00e4ufer Vollkaufmann, juristische Person des \u00f6ffentlichen Rechts oder \u00f6ffentlich-rechtliches Sonderverm\u00f6gen, so ist Syke ausschlie\u00dflicher Gerichtsstand.<\/p>\n c) Wenn der K\u00e4ufer keinen allgemeinen Gerichtsstand im Inland hat, nach Vertragsabschluss seinen Wohnsitz oder gew\u00f6hnlichen Aufenthaltsort aus dem Inland verlegt oder seinen Wohnsitz oder gew\u00f6hnlichen Aufenthaltsort zum Zeitpunkt der Klageerhebung nicht bekannt ist, ist der Erf\u00fcllungsort und Gerichtsstand Syke.<\/p>\n Zus\u00e4tzliche oder abweichende Vereinbarungen von vorstehenden Bestimmungen bed\u00fcrfen der Schriftform. Dies gilt auch f\u00fcr die Ab\u00e4nderung der Schriftformklausel.
